Acceptance of these Terms of Service
These website terms and conditions of use for the Company's website and hosted software services constitute a legal agreement and are entered into by and between you and Arbutex Inc. ("Company," "we," "us," "our"). The following terms and conditions, together with any documents and/or additional terms they expressly incorporate by reference (collectively, these "Terms and Conditions"), govern your access to and use of the Website and the Company's software-as-a-service platform, analytics, workflow tools, and related content, functionality, and services made available on or through the Website (collectively, the "Services").
BY USING THE WEBSITE, CLICKING TO ACCEPT THE TERMS AND CONDITIONS, OR MAKING USE OF ANY SERVICES AVAILABLE THROUGH THE WEBSITE, YOU ACCEPT AND AGREE TO BE BOUND AND COMPLY WITH THESE TERMS AND CONDITIONS AND OUR PRIVACY POLICY, AS MADE AVAILABLE ON THE WEBSITE, INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS OR THE PRIVACY POLICY, YOU MUST NOT ACCESS OR USE THE WEBSITE OR THE SERVICES.
Modifications to the Terms and to the Services
We reserve the right in our sole discretion to revise and update these Terms and Conditions from time to time. Any and all such modifications are effective immediately upon posting and apply to continued use of the Website and related services. While we will make reasonable efforts to notify users of any significant changes, You agree to periodically review the terms and conditions in order to be aware of any such modifications and your continued use will be your acceptance of these.
The information and material made available through the Services, and the Services themselves, may be changed, withdrawn, suspended, or terminated at any time in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Services is restricted to users or unavailable at any time or for any period.
Your Use of the Services and Account Set-Up and Security
The security of your personal information is very important to us. We use physical, electronic, and administrative safeguards designed to protect personal information from accidental loss and from unauthorized access, use, alteration, and disclosure in connection with the Services.
The safety and security of your information also depends on you. If you access or use the Services on behalf of a company, organization, or other legal entity (each, a "Customer"), you represent and warrant that you have authority to bind that Customer to these Terms, and "you" and "your" will refer to both that Customer and each individual authorized by that Customer to access or use the Services ("Authorized Users"), as applicable. Users are responsible for obtaining their own access to the Services. Customers are responsible for ensuring that all Authorized Users and all other persons who access the Services through the Customer's systems or internet connection are aware of and comply with these Terms. The Services, including content or areas of the Services, may require user registration. It is a condition of your use of the Services that all the information you provide in connection with the Services is correct, current, and complete.
Unfortunately, the transmission of information via the Internet is not completely secure. Although we do our best to protect your personal information, we cannot guarantee the security of your personal information transmitted through the Services. Any transmission of personal information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained in the Services.
Your provision of registration information and any submissions you make in connection with the Services, including through account registration, support requests, e-mail, or other account or service functionality, constitutes your consent to all actions we take with respect to such information consistent with our Privacy Policy.
Any username, password, or any other piece of information chosen by you, or provided to you as part of our security procedures, must be treated as confidential, and you must not disclose it to any other person or entity except as expressly authorized under your Customer's permitted use of the Services. You must exercise caution when accessing your account from a public or shared computer so that others are not able to view or record your password or other personal information. You understand and agree that account credentials are assigned to individual Authorized Users and may not be shared, except to the extent expressly permitted by us in writing. You agree to notify us immediately of any unauthorized access to or use of your username or password or any other breach of security. You also agree to ensure that you log out from your account at the end of each session, where applicable. Customer is responsible for all activities that occur under its accounts and for its Authorized Users' compliance with these Terms.
We reserve the right at any time and from time to time, to disable or terminate your account, any username, password, or other identifier, whether chosen by you or provided by us, in our sole discretion for any or no reason, including any violation of any provision of these Terms.
You are prohibited from attempting to circumvent and from violating the security of the Services, including, without limitation: (a) accessing content and data that is not intended for you; (b) attempting to breach or breaching the security and/or authentication measures which are not authorized; (c) restricting, disrupting or disabling service to users, hosts, servers, or networks; (d) illicitly reproducing TCP/IP packet header; (e) disrupting network services and otherwise disrupting the Company's ability to monitor the Services; (f) using any robot, spider, or other automatic device, process, or means to access the Services for any purpose, including monitoring or copying any of the material made available through the Services; (g) introducing any viruses, trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful; (h) attacking the Services via a denial-of-service attack, distributed denial-of-service attack, flooding, mailbombing, or crashing; and (i) otherwise attempting to interfere with the proper working of the Services.
Intellectual Property Rights and Ownership
You understand and agree that the Services and their entire contents, features, and functionality, including, but not limited to, all information, software, code, data, text, displays, graphics, photographs, images, video, audio, design, presentation, user interfaces, website layout, selection, and arrangement, are owned by the Company, its licensors, or other providers of such material and are protected in all forms by intellectual property laws including, without limitation, copyright, trademark, patent, trade secret, and any other proprietary rights.
The Company name, Arbutex, the Company logo, and all related names, logos, product and service names, designs, images, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without the prior written permission of the Company. Other names, logos, product and service names, designs, images, and slogans mentioned in, or which appear through, the Services are the trademarks of their respective owners. Use of any such property, except as expressly authorized, will constitute an infringement or violation of the rights of the property owner and may be a violation of federal or other laws and could subject the infringer to legal action.
You may only use the Website on your own behalf, or on behalf of an entity you lawfully represent, as permitted by our account agreement. You will not directly or indirectly reproduce, compile for an internal database, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Website, in any form or medium whatsoever except as required to make use of the Website and its Services. This limited license is contingent on your ongoing acceptance of, and compliance with, these terms, and may be revoked by Us at any time, without notice.
Conditions of Use and User Submissions and Site Content Standards
As a condition of your access and use, you agree that you may use the Services only for lawful purposes and in accordance with these Terms.
The following content standards (the "User Submissions and Site Content Standards") apply to any and all content, material, information, data, files, prompts, communications, and other inputs that a user uploads, submits, transmits, or otherwise makes available through the Services, including in connection with account administration, support, workflow configuration, analytics, or use of Service features (collectively, "User Submissions"). Any and all User Submissions must comply with all applicable federal, provincial, local, and international laws, regulations, and contractual restrictions applicable to such User Submissions.
Without limiting the foregoing, you warrant and agree that your use of the Services and any User Submissions will not:
- In any manner violate any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding the export of data or software, patent, trademark, trade secret, copyright, or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and our Privacy Policy.
- In any manner violate the terms of use, contractual restrictions, or access conditions of any third-party service, platform, data source, or system that you connect to, access through, or use in conjunction with the Services.
- Include or contain any unlawful, infringing, fraudulent, deceptive, or malicious material, code, or content, or any material that could reasonably be expected to impair, harm, or compromise the Services or any third party's systems or data.
- Include any personal information or other data for which you do not have all rights, notices, consents, and other lawful authority necessary for the Company to process such information in connection with the Services as contemplated by these Terms and the Privacy Policy.
- Involve, provide, or contribute any false, inaccurate, or misleading information.
- Include sending, knowingly receiving, uploading, downloading, using, or reusing any material that does not comply with these User Submissions and Site Content Standards.
- Impersonate or attempt to impersonate the Company, a Company employee, another user, or any other person or entity, or misrepresent your affiliation with any person or entity.
- Transmit, or procure the sending of, any unauthorized advertising, promotional materials, spam, junk mail, chain letters, or other unsolicited or bulk communications through the Services, or use the Services for unauthorized marketing, solicitation, or competitive purposes.
- Encourage any other conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which, as determined by us, may harm the Company or users of the Website or expose them to liability.
- Promote any illegal activity, or advocate, promote, or assist any unlawful act.
- Give the impression that they originate from or are endorsed by us or any other person or entity, if this is not the case.
User Submissions: Grant of Licence
The Services may contain limited functionality allowing User Submissions on or through the Services. As between you and the Company, you retain all rights in and to User Submissions you provide through the Services, including Customer data, files, records, prompts, configurations, and other information submitted by or on behalf of a Customer ("Customer Data").
By providing any User Submission through the Services, you grant us and our affiliates and service providers a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, use, process, and display such User Submissions, and to reformat or reproduce them solely to the extent technically required to render them within the Services, in each case solely as necessary to: (a) provide, operate, maintain, secure, support, and improve the Services for you and your Customer; (b) prevent or address service, security, support, or technical issues; (c) comply with applicable law and enforce these Terms; and (d) create, retain, and store backup, archival, and system-log copies, including secure retention of uploaded FX trade confirmations, transaction records, and related documentation, in the ordinary course of business and in accordance with our retention practices and any applicable account agreement. Except for the limited rights expressly granted in these Terms, no rights in User Submissions are assigned or transferred to us, and we do not acquire any right to modify, create derivative works from, publicly perform, or publicly display User Submissions except as necessary to provide the Services to you and your Customer.
AI and Model Training. We will use Customer Data and other User Submissions to develop, train, tune, test, and improve our products, services, analytics, and models only in aggregated and de-identified form that does not identify you, any Authorized User, Customer, or other individual. We will not use Customer Data or other User Submissions to train models intended for the benefit of a specific Customer except to the extent expressly authorized by that Customer in writing, including through an applicable account agreement, order form, or in-product setting made available by us.
By submitting User Submissions, you declare and warrant that you own or control, or otherwise have, all necessary rights, permissions, and lawful authority to submit the User Submissions and to grant the limited rights set out in these Terms, and that the User Submissions and our permitted processing of them as contemplated by these Terms will not violate any applicable law, regulation, contract, or third-party rights. You represent and warrant that all User Submissions comply with applicable laws and regulations and the User Submissions and Site Content Standards set out in these Terms.
You understand and agree that you, and if applicable the Customer on whose behalf you act, not the Company nor Company's subsidiaries, affiliates nor their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, or successors, are fully responsible for any User Submissions you submit or contribute, and you are fully responsible and legally liable, including to any third party, for such content and its accuracy and legality. We are not responsible or legally liable to any third party for the content or accuracy of any User Submissions submitted by you or any other user of the Services.
Site Monitoring and Enforcement, Suspension, and Termination
Company has the right, but not obligation, without prior notice, to:
- Remove or refuse to post through the Services any User Submissions for any or no reason in our sole discretion.
- At all times, take such actions with respect to any User Submission deemed necessary or appropriate in our sole discretion, including, without limitation, for violating the Services and User Submissions and Site Content Standards or any other of these Terms.
- Take appropriate legal action, including, without limitation, referral to law enforcement or regulatory authority, or notifying the harmed party of any illegal or unauthorized use of the Services. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone submitting or uploading any materials on or through the Services.
- Terminate or suspend your access to all or part of the Services for any or no reason, including, without limitation, any violation of these Terms.
YOU WAIVE AND HOLD HARMLESS THE COMPANY AND ITS SUBSIDIARIES, AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, CONTRACTORS, LICENSORS, LICENSEES, SUPPLIERS, AND SUCCESSORS FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY THE COMPANY AND ANY OF THE FOREGOING PARTIES RELATING TO ANY INVESTIGATIONS BY EITHER THE COMPANY OR SUCH PARTIES OR BY LAW ENFORCEMENT AUTHORITIES.
We have no obligation to pre-screen User Submissions, but we may monitor use of the Services and review, access, preserve, and disclose User Submissions to the extent reasonably necessary to provide the Services, maintain security and integrity, prevent fraud or misuse, comply with applicable law, enforce these Terms, or respond to support requests. Subject to applicable laws, we have no liability for any action or inaction regarding User Submissions, transmissions, communications, or content provided by any user or third party.
No Reliance
The content on our Website is provided for general information purposes only. It is not intended to amount to advice on which you should rely. You must obtain more specific or professional advice before taking, or refraining from, any action or inaction on the basis of the content on our site. Nothing on the Website constitutes legal or financial advice.
Although we make reasonable efforts to update the information made available through the Services, we make no representations, warranties, or guarantees, whether express or implied, that any content made available through the Services is accurate, complete, or up to date. The Company provides a software-as-a-service platform that enables business users to collect, organize, analyze, and operationalize financial, treasury, and related business information through analytics, workflow, reporting, and related tools (collectively, the "Platform"). The Company is a software provider only and is not a bank, money services business, money transmitter, payment service provider, broker, dealer, investment adviser, portfolio manager, restricted dealer, or other regulated financial institution or intermediary. The Platform does not provide investment, legal, accounting, treasury, foreign exchange, or other professional advice, and nothing available through the Platform should be construed as a recommendation, solicitation, instruction, or offer to enter into any transaction or to buy, sell, hold, or exchange any currency, security, financial instrument, or asset. You are solely responsible for your business decisions, compliance obligations, and use of the Platform, and should obtain independent professional advice appropriate to your circumstances. We make no representation that the Platform is appropriate or available for use in all jurisdictions, and you are responsible for ensuring that your access to and use of the Platform complies with applicable laws and regulations in your jurisdiction.

Subscription and Payment Terms
Access to certain features or tiers of the Services may require payment of subscription fees. Applicable subscription fees, billing cycles, payment methods, renewal terms, usage limits, and cancellation rights will be set out in the applicable order form, account agreement, or pricing page, as applicable. Unless otherwise stated in the applicable order form or account agreement, subscriptions will automatically renew at the end of each billing period unless cancelled prior to the renewal date in accordance with the applicable cancellation terms. In the event of non-payment, Arbutex reserves the right to suspend or terminate access to the Services in accordance with the applicable account agreement and without liability to the extent permitted by law. All fees paid are non-refundable except as expressly stated in the applicable order form or account agreement or as required by applicable law.
Disclaimer of Warranties
YOU UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK. THE SERVICES, THEIR CONTENT, AND ANY SERVICES OR ITEMS FOUND OR ATTAINED THROUGH THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OR CONDITIONS OF ANY KIND, EITHER EXPRESS OR IMPLIED INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Limitation of Liability

Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its subsidiaries, affiliates, and their respective directors, officers, employees, agents, service providers, contractors, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your breach of these Terms or your use of the Services, including, but not limited to, your User Submissions, third-party sites, and any use of the Services' content, services, and products other than as expressly authorized in these Terms.
Governing Law and Choice of Forum
The Services and these Terms will be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule (whether of the laws of the Province of British Columbia or any other jurisdiction) and notwithstanding your domicile, residence, or physical location.
Any action or proceeding arising out of or relating to the Services and under these Terms will be instituted in the courts of the Province of British Columbia or the Federal Court of Canada, and each party irrevocably submits to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.
Waiver
No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms operates, or may be construed, as a waiver thereof; and no single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
Severability
